ASPIRI – TERMS OF USE

These Terms of Use (“Terms”) govern access to and use of the website, retail stores, products, and services offered under the brand “ASPIRI”, which is owned and operated by Aspiri LLP, a Limited Liability Partnership incorporated under the laws of India (hereinafter referred to as “ASPIRI”, “we”, “us”, or “our”).

By accessing our website, visiting our retail stores, placing an order, enrolling in schemes, or purchasing any product or service (online or offline), you (“you”, “your”, or “Customer”) acknowledge that you have read, understood, and agreed to be bound by these Terms, together with all policies referenced herein, including the Privacy Policy, Cookie Policy, Shipping & Cancellation Policy, Payment Policy, Returns & Refunds Policy, Exchange & Buy-Back Policy, and all Scheme Terms and Conditions.

If you do not agree to these Terms, you must refrain from using our website, products, or services.

1. Eligibility & Use of Services

• You must be at least 18 years of age or the legal age of majority in your jurisdiction to make purchases.
• If you are purchasing on behalf of a minor, you confirm that you have the legal authority to do so.
• You agree to use ASPIRI’s products and services strictly in compliance with applicable laws, regulations, and these Terms.
• Any misuse, unauthorized access, fraudulent activity, harmful conduct, misuse of schemes, or transmission of malware may result in immediate suspension or termination of services.

2. General Conditions

• We reserve the right to refuse service to any person, at any time, for lawful reasons.
• Content (excluding payment information) may be transmitted over multiple networks and adapted for technical or operational requirements. Payment data is always encrypted and processed only through RBI-compliant secure payment gateways.
• You may not copy, reproduce, sell, resell, exploit, distribute, or commercially use any portion of our services, products, images, designs, or content without prior written consent from ASPIRI.

3. Product & Service Information

• All Gold jewelry sold by ASPIRI conforms to BIS Hallmarking norms, where applicable and mandated by law.
• Certifications for Natural Diamonds, Lab-Grown Diamonds, Cubic Zirconia, or gemstones are provided only if explicitly mentioned on the invoice or product description.
• Minor variations in weight, stone count, dimensions, size, or colour (typically ±2–5%) may occur due to handcrafted manufacturing processes, casting tolerances, and industry standards.
• Product images, videos, and renders are for representational purposes only. Actual product colour, finish, texture, or appearance may vary due to lighting conditions, screen resolution, photography, or craftsmanship.
• All products are subject to availability. ASPIRI reserves the right to limit quantities, modify designs, or discontinue products without prior notice.
• Customised or personalised jewelry orders are non-cancellable and non-returnable once production has commenced. Production shall be deemed to have commenced upon order confirmation, customer design approval (digital, written, WhatsApp, email, or recorded), CAD approval, raw material allocation, stone procurement, or initiation of manufacturing (whichever occurs earlier), unless otherwise required by applicable law.

Investment Disclaimer

Jewelry sold by ASPIRI is strictly a consumer product and not an investment, financial, deposit, savings, or hedging instrument. ASPIRI does not guarantee appreciation in value, resale price, exchange value, or future market pricing of any product.

4. Pricing & Payments

• Prices are subject to change without prior notice due to fluctuations in gold, platinum, silver, diamond, gemstone, labour, logistics, or currency markets.
• All payments must be made in the currency specified at the time of transaction.
• ASPIRI reserves the right to cancel or refuse any order suspected of fraud, misrepresentation, payment abuse, pricing errors, or violation of these Terms.
• ASPIRI shall not be liable for delays, failures, or errors caused by banks, payment gateways, technical systems, or third-party service providers. Refunds, if applicable, shall be processed strictly as per payment gateway and banking timelines.

5. Retail & In-Store Purchases

• In-store purchases are governed by the same warranty, exchange, return, buyback, and repair policies applicable to online purchases unless explicitly stated otherwise in writing.
• Special orders, made-to-order, or customised jewelry require advance payment as agreed at the time of order placement.
• Promotional offers, gold saving schemes, loyalty programs, or marketing campaigns are governed by their respective terms and conditions and may be modified, suspended, or withdrawn at ASPIRI’s discretion.
• ASPIRI shall not be liable for delays caused by suppliers, artisans, logistics partners, regulatory authorities, force majeure events, or circumstances beyond reasonable control.

6. Accuracy of Information

• You agree to provide complete, accurate, and up-to-date information for all purchases, scheme enrollments, and interactions.
• • Failure to provide accurate information may result in order delays, cancellation, forfeiture of scheme benefits, or inability to process returns, exchanges, refunds, or deliveries.

7. Returns, Exchanges & Repairs

• Returns, refunds, exchanges, lifetime exchange, buyback, repair, and alteration services are governed strictly by ASPIRI’s applicable policy documents.
• Policy terms may vary by product category and shall be applied as documented.
• ASPIRI reserves the right to refuse exchange, buyback, or repair if the product shows signs of tampering, alteration, damage, stone replacement, resizing beyond permissible limits, or missing components.
• Lifetime Exchange refers to the lifetime of the product and does not imply full value exchange, cash refund, or guaranteed future pricing.
• Final inspection, valuation, and decision by ASPIRI shall be final and binding.

8. Inspection on Delivery (Online Orders)

• Customers are required to inspect products at the time of delivery.
• Any visible damage, discrepancy, tampering, or missing items must be reported within 24 hours of delivery along with supporting photographs or videos.
• Claims raised beyond this period may not be accepted.

9. Third-Party Links & Services

• Our website may contain links to third-party websites or services.
• ASPIRI does not control, endorse, or assume responsibility for the content, policies, or practices of such third parties.
• Any interaction with third-party platforms is solely between you and the respective third party.

10. User Feedback & Submissions

• By submitting feedback, reviews, testimonials, ideas, or suggestions, you grant ASPIRI a perpetual, royalty-free, worldwide right to use, reproduce, modify, adapt, publish, and display such content without compensation or obligation.
• You must not submit content that is unlawful, defamatory, misleading, obscene, or infringes third-party rights.

11. Intellectual Property Rights

• All trademarks, designs, product styles, images, text, logos, brand assets, and intellectual property are the exclusive property of ASPIRI or its licensors.
• Unauthorized copying, reproduction, distribution, reverse engineering, or commercial exploitation is strictly prohibited and may result in civil and criminal action.

12. Prohibited Uses

You agree not to use ASPIRI’s services:

• For any unlawful, fraudulent, or deceptive purpose
• To infringe intellectual property or proprietary rights
• To transmit malware, viruses, or harmful code
• To harass, abuse, threaten, defame, or harm any person
• To misrepresent identity or impersonate another person

13. Disclaimer of Warranties

• All products and services are provided on an “as is” and “as available” basis, except as expressly stated in applicable written warranty policies.
• ASPIRI does not warrant uninterrupted, error-free, or defect-free operation of its website or services.
• Verbal assurances by store staff are not binding unless expressly documented on the invoice or official policy.

14. Limitation of Liability

• To the maximum extent permitted by law, ASPIRI shall not be liable for any indirect, incidental, special, or consequential damages.
• ASPIRI’s total liability, if any, shall not exceed the invoice value paid by the customer for the specific product or service giving rise to the claim, except where prohibited under applicable law.

15. Indemnification

You agree to indemnify and hold harmless ASPIRI, its partners, directors, officers, employees, affiliates, and representatives from any claims, losses, damages, liabilities, or expenses arising from your breach of these Terms or violation of applicable laws.

16. Governing Law, Jurisdiction & Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of India.
• Courts located in Surat, Gujarat shall have exclusive jurisdiction.
• Parties shall attempt amicable resolution before initiating proceedings.
• Failing such resolution, disputes shall be referred to arbitration under the Arbitration & Conciliation Act, 1996.
• The seat and venue of arbitration shall be Surat, Gujarat.

18. Consent to Communication

ASPIRI shall not be liable for failure or delay due to events beyond reasonable control, including acts of God, pandemics, strikes, government actions, supply chain disruptions, cyber incidents, system outages, payment gateway failures, or natural disasters.

20. Policy Precedence, Amendments & Language

• In case of conflict, specific policies shall prevail over these Terms.
• ASPIRI reserves the right to amend these Terms at any time.
• The English version shall prevail in case of translation.
• Clauses relating to intellectual property, liability, indemnity, and governing law shall survive termination.
